Vendor Contract
This is a contract for vendor space with Rosehill Enterprises LLC dba Rosehill Gift Shows. By submitting a contract you agree to the Terms and Conditions listed in the Vendor Information Packet and the Rosehill Gift Show website. We recommend you review the Vendor Information Packet along with the T&C and prior to submitting your contract.
Exhibitor Liability Insurance
As a vendor, you are required to obtain and maintain General Liability Insurance in full force and effect throughout the Event.

General Liability Insurance –
Comprehensive general liability insurance written with limits of $1,000,000.00 per occurrence / $2,000,000.00 aggregate for bodily injury and property damage.

Rosehill Enterprises LLC/Rosehill Gift Shows should be named as the certificate holder along with the corresponding additional insured (depending on which show(s) you wish to participate in.)

If you have insurance, a copy of your certificate can easily be submitted. If you don't, we have an option for you to obtain it easily. Rainprotection Insurance is the official insurance management company.

**NEW** Inability to Attend Insurance
We now offer Inability to Attend insurance included with your vendor fee. The coverage is underwritten by Lloyds of London.
You will receive a 100% refund, if you are unable to attend the event for a reason outside of your control that is covered under the policy. This coverage starts on the date you pay for registration (space) and ends on the first date of the show (set up day). Rosehill Enterprises LLC/Rosehill Gift Shows continues to have a no-refunds policy. Use the description to give Buyers an idea of who you are and what items you can offer them.

Provide us with a copy of your mailing list in an Excel spreadsheet and we will include your buyers in our promotional mailings/emails. The list will never be sold or used for purposes other than marketing for the show.
Promote your participation in the show with an ad in the Show Program! Promote a new product or offer a show discount! The show program is the perfect way for you to stand out from the competition.
Promote your new product, offer a show discount or introduce buyers to your exclusive brand. We will create an email with your ad (or image) and send it directly to shop owners/buyers.
Let us know if you will be offering any show-only discounts, specials or sales and we will include them with our pre-show announcement to registered buyers. Keep your description brief and to the point please!

Booth Signage - Do you need a one-line ID sign? *
Some vendors prefer to use their own signage. Please let us know if you will be using your own or want us to provide a one-line ID sign for you. Please note: signs are the property of Rosehill Gift Shows and must be returned.
Booth Amenity - Tables *
Each vendor is entitled to ONE table per PAID booth. Please indicate how many tables you need. Every effort will be made to provide you with the size requested. Additional tables can be ordered through each facility's Vendor Services Order Form.
Each vendor is entitled to 2 chairs. Please indicate how many chairs you would like.

Attendee's Acknowledgement and Waiver of Liability Relating to Coronavirus/COVID-19

The novel coronavirus, COVID-19, has been declared a worldwide pandemic by the World Health Organization. COVID-19 is reported to be extremely contagious. The state of medical knowledge is evolving, but the virus is believed to spread from person-to-person contact and/or by contact with contaminated surfaces and objects, and even possibly in the air. People reportedly can be infected and show no symptoms and therefore spread the disease. The exact methods of spread and contraction are unknown, and there is no known treatment, cure, or vaccine for COVID-19. Evidence has shown that COVID-19 can cause serious and potentially life-threatening illness and even death.
Rosehill Gift Shows cannot prevent you from becoming exposed to, contracting or spreading COVID-19 while attending the February 2021 St.Louis Gift Show at Gateway Convention Center or the Louisville Gift Show at Paroquet Springs Conference Centre. It is not possible to prevent against the presence of the disease. Therefore, if you choose to attend either show, you may be exposing yourself to and/or increasing your risk of contracting or spreading COVID-19.

ASSUMPTION OF RISK: I have read and understood the above warning concerning COVID-19. I hereby accept the risk of contracting COVID-19 in order to attend the February 2021 St.Louis Gift Show/Louisville Gift Show. Attending the show is of such value to me that I accept the risk of being exposed to, contracting, and/or spreading COVID-19 in order to attend in person.
WAIVER OF LAWSUIT/LIABILITY: I, for myself, my heirs, next of kin, personal representatives and assigns hereby forever release, waive, discharge, and covenant not to sue Rosehill Enterprises LLC dba Rosehill Gift Shows and its owners, officers, directors, managers, officials, trustees, agents, employees, or other representatives in connection with exposure, infection, and/or spread of COVID-19 related to my attendance at the February 2021 Gift Show(s). I understand that this waiver means I give up my right to bring any claims including for personal injuries, death, disease or property losses, or any other loss, including but not limited to claims of negligence and give up any claim I many have to seek damages, whether known or unknown, foreseen or unforeseen. I agree to pay all costs and expenses and attorney's fees incurred in good faith by Rosehill Enterprises LLC dba Rosehill Gift Shows and its owners, officers, directors, managers, officials, trustees, agents, employees, or other representatives in connection with any claim I bring against them in violation of this contract.
CHOICE OF LAW/SEVERABILITY: I understand and agree that the law of the State of Illinois will apply to this document. To the extent any single provision is voided, the remaining provisions shall remain in full force and effect.
I HAVE CAREFULLY READ AND FULLY UNDERSTAND ALL PROVISIONS OF THIS WAIVER, AND FREELY AND KNOWINGLY ASSUME THE RISK AND WAIVE MY RIGHTS CONCERNING LIABILITY BY REGISTERING FOR AND ATTENDING THE 2021 ST.LOUIS/LOUISVILLE GIFT SHOW.

Acknowledgment of Terms and Conditions:
I understand and accept the contract Terms and Conditions as stated in the Vendor Information Packet and on the Rosehill Gift Shows website. Additionally, the following policy applies to all attendees of trade shows and events produced by Rosehill Gift Shows/Rosehill Enterprises, LLC., who include but are not limited to Vendors, Sponsors, Buyers and Visitors. Rosehill Gift Shows/Rosehill Enterprises, LLC. reserves the right to modify its privacy policy at any time. Rosehill Gift Shows/Rosehill Enterprises, LLC, places the highest priority on earning and keeping our customers’ trust and confidence. Attendees agree to hold Rosehill Gift Shows/Rosehill Enterprises, LLC., Gateway Center/Paroquet Springs Conference Centre and their agents and contractors harmless from any and all claims, demands, lawsuits, liability, loss, cost, attorney fees and expenses of whatever kind of nature which arise out of a result from attending or participating in the Rosehill Gift Shows/Rosehill Enterprises, LLC. trade shows whether or not foreseeable, including without limitations, personal injuries to attendee or his/her invited guests. Attendees understand photographs and videos may be taken for the purpose of event promotion. Participation in Rosehill Gift Shows/Rosehill Enterprises, LLC. events are an acknowledgment of personal responsibility and acceptance of the hold harmless agreement, both written and expressed. I have been given the opportunity to read the agreement and all related documents in full and in my own time. I have also been offered the opportunity to have any matters contained therein explained or clarified, as well as the opportunity to take independent advice prior to entering into this agreement. I acknowledge that I am contractually bound by this agreement and I am liable for booth fees due in accordance with this agreement.
Upon confirmation, you have the option to pay the full amount due or a deposit. We welcome full payment but offer the option of paying a deposit. Your deposit amount is half of your total booth fee and is required to hold your space. Please note: Your vendor space will not be considered "reserved" or "held" until full payment or a deposit is received. If paying by check, payment is due no less than 45 days prior to show date.
Once submitted, your contract application will be reviewed. We will contact you to verify booth details (size, placement, payment preferences, etc.) and confirm fees. After all of these final details have been arranged, then we will send you an invoice for payment.
